CEO Update
December 21, 2011

I would like to start by wishing our shareholders a happy holiday season and a healthy, prosperous New Year. As I look back on 2011 I feel we have made great strides towards commercializing our two initial products: the IsoTorque® differential and the Rota-Torque™ hydraulic pump. Here is an update on both.

IsoTorque: Although previous tests have been very positive, we just received the results of testing by a large automobile manufacturer. They compared the IsoTorque to two other popular differential types in eleven different testing categories. In every test the IsoTorque was “far superior” to the other differentials. This is obviously very exciting news and confirms the performance capabilities of our differential. We still need some improvement in our durability which will be achieved through more exacting gear geometry. We feel we are very close to going from “good to great”. We are talking to a number of large potential customers who are waiting patiently for this breakthrough technology. We continue to make significant progress with “off road” uses such as mining cars. We will shortly send a unit for pre-installation fitment for final assembly. We are also preparing to go into the aftermarket for Corvettes and Camaros in 2012.

Rota-Torque Pump: As I stated in my other CEO report, we learned a great deal about the pros and cons of our pump design. We have made, and are making, substantial design changes. Again, we are very excited about the potential of this product to revolutionize the hydraulic pump world. We should have our first commercial prototype done in March. We will then have about a month or two of testing. If all goes well we can start our marketing and sales efforts in the second half of 2012. We have been talking to many potential users (pre-marketing) who see the obvious advantages of our pumps and are anxious to see and test the actual working model.

We are very focused on moving our technology to the point that we can start generating revenue. Although I have been through this many times before, as a sales and marketing guy, I must admit my frustration and impatience. I am sure, as shareholders, you feel the same. In the past I have been told by many senior engineering people that “you can’t rush innovation” and “just because one woman can have a baby in nine months, it doesn’t mean nine women can have a baby in one month”. Patience is a very important quality in new technologies and ventures. That being said I believe we will see some very important milestones being met in 2012. I also believe we are positioning ourselves to make quick inroads into our potential customers when we are ready.

We are running lean and have our expenses and compliances well controlled. I could not be happier with the people I am working with including Torvec’s board. Our mood is that of excitement and optimism. Again I want to thank you, the shareholders, for your confidence in us. We will do everything in our power to make Torvec a huge success.

Thank You

Richard A. Kaplan

SEMA 2011 Update

The 2011 Las Vegas SEMA show was a tremendous success for Torvec and our IsoTorque differential. Torvec had the privilege of working with Hyundai Motors America (HMA) and HATCI on their new Hurricane SC Genesis Coupe show car, and shared booth space with other notable suppliers such as Mangnuson Supercharger and Bilstein Shocks.

Hyundai occupied 3,500 sq. feet of the 2 million sq. feet in the convention halls, displaying five of their latest show cars. The exciting Hurricane SC was introduced by HMA’s President and CEO, as well as the VP of Product & Corporate Planning. Beside the SC was a wonderful display of all the technologies and products that made the Hurricane a real show stopper. The Torvec logo and the actual IsoTorque differential were prominently displayed.

Torvec staff had the opportunity to talk with HMA’s President and CEO, John Krafcik, and Steve O’Brian, VP of Product & Corporate Planning and many HATCI engineers, who were all familiar with the IsoTorque and what it has done for the Genesis Coupe.

Over the course of the four day show, Torvec representatives interacted with hundreds of show attendees, among them potential OEM and Aftermarket customers.

Overall, it was a great success and we are honored to have been invited to participate by HMA and HATCI.

Below you will find pictures and video of SEMA and the Hurricane.

The following release was made by HYUNDAI MOTOR AMERICA:

GENESIS HURRICANE SC TO CREATE A STORM AT 2011 SEMA SHOW

HATCI and Magnuson Supercharge Hyundai Genesis Coupe

COSTA MESA, Calif., Oct. 13, 2011 – To showcase the extreme power of Hyundai’s most popular performance car, Hyundai America Technical Center Inc. (HATCI) teamed up with Magnuson Products, Rhys Millen Racing, Harman International and Torvec Inc. to develop and build a special edition prototype Genesis Coupe, the Genesis Hurricane SC. HATCI, Hyundai’s design, technology and engineering branch, will display the high-performance Genesis Coupe in Hyundai’s 2011 SEMA Show booth from November 1-4, 2011 in Las Vegas.

The Genesis Hurricane SC represents a two year development effort by HATCI, as its engineers worked to enhance all aspects of the vehicle including power, traction, braking, exterior and interior design and audio system. Highlighting the performance modifications, HATCI teamed up with Magnuson Products to supercharge Genesis Coupe’s 3.8L V-6 engine with a liquid to air intercooler, producing more than 450 horsepower.

“The HATCI and Magnuson supercharger demonstrates the high-performance potential of Genesis Coupe’s V-6 engine – the car was engineered to handle this kind of extra power,” said David Dutko, senior engineer, HATCI. “Our HATCI engineers have been working for years with Magnuson to ensure high engine output is available on future Hyundai vehicles.”

“The supercharger creates a modest six to seven pounds of boost which generates a 35-45 percent increase in horsepower and torque and can be easily modified to deliver even higher boost levels,” said Terry Peddicord, director, sales, Magnuson Products. “One of the many exciting aspects of this project is that the Genesis Hurricane SC is not just another pretty face for the show circuit, but rather it is a hard working lab-rat that will push the bounds of this car and the whole vehicle segment.”

In addition to the supercharged V-6, Torvec Inc. has been developing its IsoTorque® differential with improved handling and traction capability with HATCI engineers at the Hyundai Proving Grounds inCalifornia. The IsoTorque differential delivers nearly a one second per lap improvement in the Genesis Coupe on the Hyundai road course.

Beyond the engine, Genesis Hurricane SC has a long and impressive list of both interior and exterior specialty modifications. Hyundai’s long-standing racing partner Rhys Millen Racing (RMR) provided exterior enhancements including a front bumper, grille, hood, side skirts, diffuser and rear deck with spoiler. RMR partners Enkei and Hankook provided the high performance 19-inch wheel and tire assemblies, a RMR free flowing exhaust system and air intake was utilized to free up more engine power. The vehicle also sports upgraded LED headlights and taillights provided by FlyRyde.

The Hurricane’s interior also received some state of the art enhancements including a Harman International high level Lexicon audio system that was tuned in house by HATCI engineers and Katzkin custom premium leather and suede seats accented with blue inserts.

Mechanically, the Hurricane SC has Bilstein monotube shock absorbers and springs with adjustable ride height tuned on the Nurburgring inGermanyand a Brembo six piston brake kit with cross drilled front and rear rotors. The engine also received a SPEC lightweight single mass aluminum flywheel and stage two clutch, DeatschWerks high flow fuel pump and 600cc injectors, Perma-Cool oil, differential and steering coolers and a custom CPR Fabrication billet aluminum oil filter adapter.

Additionally, on the SEMA Show floor the numerous parts of the Genesis Hurricane SC will be displayed, providing show-goers the opportunity to experience and interact with the vehicle’s actual hard parts and future developments.

HYUNDAI KIA AMERICA TECHNICAL CENTER

Hyundai America Technical Center, Inc. (HATCI) is the design, technology and engineering arm for all North American models of the Korean-based Hyundai-KIA Motors Group. Their commitment to total quality is confirmed by their remarkable rise in the annual JD Power rankings for both initial quality and reliability, pushing perennial leadersToyotaand Honda with improvement rates twice the industry average. In addition to the engineering center inSoutheast Michigan, our $60 million California Proving Ground is one of the most comprehensive and advanced vehicle testing facilities ever built.

CEO Update
September 26, 2011

When I first came to Torvec late last year, I said that it would take me 6 to 9 months to know whether we really have the ability to turn exciting technologies into real products that create value to our customers, generate profit and growth for us, and do something good for the world. At that time, we raised $2 million to start that process. My thought was that those funds would last us about one and a half years. Unfortunately, there were some surprise expenses and costs incurred due to decisions made in previous periods. This means the funds we raised will only last approximately one year. The good news is that we have made tremendous strides during that time on both our IsoTorque® differential and our Rota-Torque™ hydraulic pump. Our engineers and I believe that we can create some breakthrough products.

Due to the success of this innovative process, we are excited to announce a $6.5 million investment in Torvec by a group led by Mr. B. Thomas Golisano and members of our Board and management. We believe that these funds will provide us with the resources necessary to finish development, patenting, and marketing of our initial products.

I am well aware that a major factor in our company’s development is time. Timelines are very hard to create with new innovations. However, with that in mind, I will give you our present thinking.

IsoTorque Differential – The testing for our rear-wheel drive differential has gone well so far and we anticipate that our business with automobile manufacturers can start in the next 12 to 24 months. However, we see an opportunity to begin selling into the aftermarket much sooner. Our goal is to start marketing into this sector by April 2012. Our marketing plan has been drawn and we feel there is great opportunity in the aftermarket. In addition, we believe that our efforts will help us in breaking into other OEMs by proving our performance and safety advantages in the real world. We are also continuing to market into off-highway markets such as Mining and Construction.

We are still testing and improving our differential for front-wheel drive applications. We believe that this could truly create an incredible breakthrough in front-wheel drive technology. We believe that we are about 6 to 9 months away from OEM testing.

Rota-Torque Hydraulic Pump – We have completed our initial testing of the Rota-Torque pump at a prominent university. Through this we have learned a great deal about the strengths of the pump and improvements we can make. Because we are changing the intended use of the pump from an automobile transmission to a commercial pump, we knew in advance that there would be development changes we would have to make because of the heavy duty cycle requirement for commercial use. However, from our testing we believe that the pump has some tremendous advantages over existing technologies and that we can make it even better and more exciting than we originally thought. This again could be revolutionary. Our preliminary timeline for design, simulation testing and development of the prototype is from 9 to 15 months.

In keeping with all the new innovation, financing and the streamlining of the company, we have decided to change our logo to reflect the new Torvec. You can view this at this website and we hope you like it.

Lastly, I am aware of, and sensitive to, the dilution of our new investment. I wish the company was as focused and productive in development in the past as it is now. That being said, I believe our potential markets, growth and profit can be enough to more than compensate for the dilution that the company has experienced through the years and show a great return to our shareholders in the future.

Again, thank you for your patience and confidence.

Dick Kaplan, CEO

Forward-Looking Statements

The statements contained in this update that are not purely historical are forward-looking statements. These forward-looking statements include, but are not limited to, statements regarding the anticipated duration for the use of our funding proceeds, the expected timeline for the development, testing and sale of our products , the effectiveness of our anticipated products and their acceptance in the marketplace, the anticipated benefits to the company, and/or statements preceded by, followed by or that include the words “believes,” “could,” “expects,” “anticipates,” “estimates,” “intends,” “plans,” “projects,” “seeks,” or similar expressions. Forward-looking statements deal with the company’s current plans, intentions, beliefs and expectations. Investors are cautioned that all forward-looking statements involve risks and uncertainties that could cause actual results to differ materially from those in the forward-looking statements. Many of these risks and uncertainties are discussed in the company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2010 filed with the Securities and Exchange Commission (the “SEC”), and in any subsequent reports filed with the SEC, all of which are available at the SEC’s website at www.sec.gov. All forward-looking statements speak only as of the date of this report and the company undertakes no obligation to update such forward-looking statements.

CEO UPDATE

Torvec is focusing on productizing two of its core technologies: the IsoTorque® differential and the Rota-Torque™ hydraulic pump. Preliminary discussions with prospective customers of both products have created much excitement, anticipation and positive feedback.

We have completed our own internal performance tests of the IsoTorque differential. Various automakers now have IsoTorque differentials in their possession for their evaluation purposes in both rear wheel and front wheel drive applications. We are anticipating positive feedback from the testing over the next several months as we jointly work to bring the IsoTorque to the showroom floor. It is customary for this process (initial evaluation, durability, platform selection, platform integration, platform manufacturing and then showroom floor) to take anywhere between 12 to 30 months. We are also pursuing additional customers and markets that have a much faster product development cycle.

We are finalizing the selection of a prominent, independent testing university to test and to evaluate our Rota-Torque™ hydraulic pump. This will enable us to collect and provide the necessary specifications to continue, and eventually complete, our development and sales process. We expect to have initial test results within 3 to 4 months.

Torvec has also just signed Non-Disclosure Agreements (NDA) with two prominent Chinese manufacturers. These NDA’s will allow us to develop relationships that will advance our technology and products further and faster into the world’s largest market.

Since October 2010, we have worked very hard to focus our efforts to evolve these two core technologies into revolutionary new products. These events are very important milestones in that process.

Sincerely,

CEO UPDATE

I am happy to report that we continue to make significant progress in creating products from our technologies.

We have determined and created our gear geometry for the IsoTorque® differential. Our prototypes have preformed incredibly well in our latest testing. We did have a few structural setbacks, but we have made the necessary corrections and will soon send the prototypes out to some of our potential customers for their testing. We are quite encouraged by the customers’ interest we are experiencing.

We are also developing two new prototypes of our Rota-Torque™ pump. They should be ready for independent testing in about four weeks. If they test out as well as we think and hope they will, we will be ready to make presentations to our prospective customers. Again, we are finding tremendous interest in our pump technology.

We have also had inquiries regarding our steer drive and we are working on creating that presentation.

If we get the customer acceptance that we are hoping for, each of these products have extremely large potential markets for us to go after. I believe we are heading in the right direction. All of these endeavors take hard work, creativity and some luck to be successful. I know we have at least two out of the three.

Thank you for your confidence and patience.

Sincerely,
